Terms of Service

The short version

Use Let's Jam to find people to build with. Be honest about who you are. Don't harass other users. Don't use the service to do anything illegal. We can suspend accounts that break these rules. We don't make any guarantees about the service, and our liability to you is limited to what you've paid us, which is zero.

Agreement

These Terms of Service (the “Terms”) are an agreement between you and Let's Jam (“we”, “us”) that governs your access to and use of the website at letsjam.live and any related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

Your use of the Service is also subject to our Privacy Policy, which describes how we collect and use your information.

Who can use the Service

You can use Let's Jam if you're at least 16 years old and capable of forming a binding contract with us. If you're using the Service on behalf of an organization, you confirm you're authorized to bind that organization to these Terms.

We may refuse service or close accounts at our discretion, particularly if we believe an account is being used to harm others or violate these Terms.

Your account

You sign in with a third-party identity provider (currently LinkedIn or Google). You're responsible for keeping that sign-in credential secure. Anything done through your account is considered your action, so don't share access with anyone else.

You agree that the information on your profile (including your name, role, company, city, and any LinkedIn URL you confirm) is accurate, that you have the right to share it, and that you keep it up to date.

Identity verification and impersonation

Let's Jam is built on people being honest about who they are. You may only create an account that represents you, the real human signing in. You may not create or operate an account that claims to be another person, that uses another person's name, likeness, photo, work history, or LinkedIn profile, or that misrepresents your affiliation with a company, project, or organization.

Every account on Let's Jam is subject to manual review at any time if we suspect, or if another user reports, that the account is claiming to be someone it isn't. As part of that review we may compare the account against the linked sign-in provider (such as LinkedIn or Google), the confirmed LinkedIn profile, publicly available information, and any evidence the account holder or the reporter provides. We may ask you to provide reasonable proof of identity before restoring or continuing access.

If we determine, in our sole and reasonable discretion, that an account is impersonating another person or otherwise misrepresenting who is behind it, we may suspend, restrict, unverify, rename, or permanently remove that account, with or without prior notice, and we may remove any content posted by it. We may also take the same actions while a review is still in progress if leaving the account fully active would put other users at risk. Repeat or egregious impersonation may be reported to the affected person, to the sign-in provider, or to law enforcement where appropriate.

Acceptable use

When using Let's Jam, you agree NOT to:

  • Impersonate another person, misrepresent your affiliation with an organization, or use a profile that doesn't reflect who you actually are.
  • Harass, threaten, demean, or discriminate against other users, including in collaboration requests or messages off-platform.
  • Post content that's illegal, defamatory, hateful, sexually explicit, or that infringes on someone else's rights (including intellectual property and privacy rights).
  • Send spam, run scams, solicit funds outside the intended purpose of the Service, or recruit users for unrelated business activities they didn't opt into.
  • Use the Service to seek, solicit, or recruit for paid roles or paid opportunities of any kind. Let's Jam is for finding people to build side projects with, not for sourcing or pursuing paid work. “Paid” here means any form of compensation, including cash, salary, contractor or consulting fees, revenue share, tokens, or anything else of monetary value. If we find that you're using the Service to look for or offer paid work, we may, in our sole discretion, temporarily or permanently ban your account from the Service.
  • Scrape, crawl, or use automated means to extract data from Let's Jam, or copy other users' information for any purpose other than reaching out about a specific idea on the platform.
  • Reverse engineer, decompile, or attempt to access source code, non-public APIs, or other systems behind the Service, except as expressly permitted by law.
  • Interfere with or disrupt the Service, including by introducing malware, conducting denial-of-service attacks, or circumventing security measures.
  • Use the Service in any way that violates applicable laws or regulations.

If we believe you've broken these rules, we can suspend or terminate your account without notice. Severe violations may be reported to authorities where appropriate.

Your content

You retain ownership of everything you post on Let's Jam (your profile bio, ideas you post, requests you send, collectively “Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and display only), and make Your Content available to other users of the Service, solely to operate, improve, and promote Let's Jam. This license ends when you delete Your Content or your account, except where we're legally required to retain it.

You're responsible for Your Content. You confirm that you have all rights necessary to post it and that it doesn't infringe on anyone else's rights.

Our content and trademarks

Everything that makes up Let's Jam other than Your Content (the website, design, code, logos, copy) is owned by us or our licensors and protected by intellectual property laws. We grant you a personal, limited, non-transferable, revocable license to use the Service in accordance with these Terms. You can't copy, modify, or redistribute any of it without our permission.

Third-party services and links

Let's Jam integrates with third-party services (for example, LinkedIn and Google for sign-in) and may contain links to third-party websites. We don't control these and aren't responsible for their content or behavior. Your use of those services is governed by their own terms and privacy policies.

Suspension and termination

You can delete your account at any time by emailing chase@letsjam.live.

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, for any reason, including if we reasonably believe you've violated these Terms or applicable law. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and dispute resolution) will survive.

Disclaimers

Let's Jam is provided “as is” and “as available”, with all faults and without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, security, freedom from viruses or harmful code, and uninterrupted or error-free operation. We make no representations or warranties about any content (including user-supplied content), profile data, or any information you see on the Service.

You use the Service at your own risk. We don't guarantee that you'll find collaborators, that anyone you meet through Let's Jam is who they claim to be (even though we require sign-in through a third-party identity provider), that information on profiles is accurate or current, that any collaboration or project pursued through the Service will succeed, or that interactions with other users will be safe, lawful, or productive. You are solely responsible for evaluating, vetting, and dealing with other users, and for any decisions you make based on the Service. Let's Jam is not a party to any agreement, transaction, or relationship between users and accepts no responsibility for the conduct of any user, on or off the Service.

Limitation of liability

To the maximum extent permitted by applicable law, in no event will Let's Jam, its founders, employees, contractors, agents, affiliates, suppliers, or licensors be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever, or for any loss of profits, revenue, business, business opportunities, anticipated savings, data, use, goodwill, reputation, or any other intangible loss, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages. This applies even if any remedy fails of its essential purpose.

Without limiting the above, we are not liable for any harm, loss, or damages arising out of or related to: (a) your access to, use of, or inability to use the Service; (b) any conduct or content of any other user or third party on or off the Service, including harassment, fraud, misrepresentation, infringement, or any other harmful or unlawful conduct; (c) any collaboration, project, transaction, employment, investment, or other relationship you enter into with anyone you meet through the Service; (d) any decisions you make in reliance on profile information, ideas, or other content shown on the Service; (e) unauthorized access to or alteration of your account or data; or (f) any errors, inaccuracies, omissions, interruptions, delays, or failures of the Service or any third-party service we rely on.

To the fullest extent permitted by applicable law, our total aggregate liability to you for any and all claims arising out of or related to the Service or these Terms is limited to the greater of (i) the total amount you have actually paid to Let's Jam in the twelve months immediately preceding the event giving rise to the claim, or (ii) ten US dollars (US$10.00). Because the Service is currently free to use, you acknowledge that this cap will, in practice, generally be US$10.00. This cap is cumulative and is not increased by the existence of multiple claims or claimants.

Some jurisdictions don't allow the exclusion or limitation of certain warranties or damages (including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence). The above limitations apply only to the extent permitted in your jurisdiction; nothing in these Terms is intended to limit any rights you have that cannot be limited by law.

Indemnification

You agree to defend, indemnify, and hold Let's Jam harmless from any claim, demand, or expense (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of the rights of a third party.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you and we both consent to personal jurisdiction there.

Nothing in these Terms prevents either of us from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

Consent to user-feedback outreach

Let's Jam is an early-stage product, and talking to the people who use it is how we make it better. By creating an account or using the Service, you consent to being contacted by us (including by the founder, Chase, directly) from time to time for the purpose of user-research and product-feedback outreach. This may include short emails, surveys, requests for a quick call, or other reasonable ways of asking about your experience using Let's Jam.

We'll keep this outreach reasonable in volume and on-topic.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the date at the top and, where appropriate, notify you by email or a notice on the site. Continued use of the Service after a change means you accept the updated Terms.

Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Let's Jam regarding the Service. If any provision is held to be unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver of our right to enforce it later. You can't assign these Terms without our written consent; we can assign them in connection with a sale, merger, or restructuring.
